This Terms of Service Agreement ("Terms") sets forth the conditions governing your access to and use of all services provided by Shavedays ("Shavedays", "SHAVEDAYS", "we," "our," or "us"), a business registered in the Hong Kong Special Administrative Region.

This includes, but is not limited to, our websites, branded pages on third-party platforms (such as social networking sites), mobile applications, direct marketing campaigns, online communications, and offline interactions through our Customer Services Team (collectively referred to as the "Shavedays Services"). These Terms apply to all purchases you make through the Shavedays Services, whether on an automated recurring subscription ("Subscription") or an on-demand, one-off basis.

Your use of the Shavedays Services constitutes your unconditional agreement to these Terms. If you do not agree with any part of these Terms, you must refrain from using the Shavedays Services.

Governing Law & Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes) shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. Any legal action or proceeding arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Hong Kong, subject to the forum limitations set out in Section 11.

Amendments to Terms

Shavedays may revise these Terms at any time. For material changes affecting active Subscriptions, we will provide you with at least fourteen (14) days' prior notice via email. Your continued usage of the Shavedays Services following the effective date of any changes means you accept those revised Terms. The materials provided on the Shavedays Services are protected by law, including, but not limited to, Hong Kong copyright laws and international treaties.

The terms “you,” “your,” “user,” and “users,” refer to all individuals and/or entities accessing the Shavedays Services for any reason.

1. ELIGIBILITY

You must be 18 years of age or older to visit or use the Shavedays Services in any manner. By using the Shavedays Services, you represent and warrant to Shavedays that you are 18 years of age or older, possess the legal capacity to enter into binding contracts under Hong Kong law, and will use the Services in a manner consistent with all applicable Hong Kong laws and regulations.

2. USE OF THE SHAVEDAYS SERVICES

2.1 Use Restrictions

All materials available through the Shavedays Services—including information, text, images, graphics, logos, and data (collectively, the "Contents")—are protected by copyright and intellectual property laws in Hong Kong and internationally. Ownership remains with Shavedays or its licensors.

Shavedays grants you a limited, personal, non-exclusive, non-transferable, and non-commercial license to use the Shavedays Services and view a single copy of the Contents for personal use, provided you retain all copyright notices: "Copyright © 2026, Shavedays. All rights reserved".

You represent and warrant that you will not:

• Use any "robot", "spider", "deep-link", or automatic process to monitor or copy the Contents;

• Attempt to introduce viruses, disrupt, or circumvent security mechanisms of the Shavedays platform;

• Attempt to gain unauthorized access to other users' accounts or Shavedays servers;

• Use the Shavedays Services for any illegal purpose under the laws of Hong Kong.

2.2 User Submissions

You retain sole responsibility for any text, images, or reviews you post ("Submissions"). You agree not to upload content that is defamatory, unlawful, obscene, harassing, or infringing on intellectual property rights. By making a Submission, you grant Shavedays a royalty-free, perpetual, worldwide, non-exclusive license to use, display, and distribute your submission for promotional purposes. Shavedays reserves the right to monitor, edit, or remove any Submission at its sole discretion.

 

2.3 Submission of Ideas

Shavedays does not consider unsolicited product ideas, marketing concepts, or artwork ("Ideas"). If you choose to submit Ideas regardless of this policy, you agree that such Ideas automatically become the property of Shavedays without financial compensation or confidentiality requirements.

 

2.4 Your Account

You are responsible for maintaining the confidentiality of your account credentials and password. You assume full responsibility for all activities occurring under your account. Shavedays reserves the right to refuse service, terminate accounts, or cancel orders at its sole discretion if fraudulent activity or breach of contract is suspected.

Automatic Login: To improve customer experience, clicking certain links in official emails from Shavedays may log you directly into your portal. You are advised to secure your email access to prevent unauthorized portal access.

 

3. TERMS OF SALE & SUBSCRIPTION SERVICE ARCHITECTURE

3.1 Introduction

Shavedays offers system razors, replacement blades, and grooming items (collectively, the "Products") to consumers ("Members"). This includes automated, recurring blade plans ("Subscriptions") and one-time purchases ("On-Demand Purchases").

Products are intended solely for personal, non-commercial use. In accordance with standard trade protections, you are strictly prohibited from purchasing Products or Subscriptions for commercial resale or distribution. Subscriptions are tied to your consumer account and are non-transferable.

3.2 Placing an Order

You may place an order via guest checkout or by registering an account. You submit your order by clicking the "Buy Now" or "Subscribe now" button. Note: If you select a Subscription plan, clicking this button authorizes recurring automated billing as outlined in Section 4.

An email summarizing your order will be issued immediately. This does not constitute final acceptance of your order. A binding contract is formed only when payment has been authorized and the Products have been dispatched from our facility. We reserve the right to decline or cancel an order if the products are out of stock, payment fails, or there is an obvious pricing description error.

3.3 Products and Pricing

Prices for all Products and Subscriptions are listed on the Shavedays website.

We reserve the right to adjust prices for our subscription tiers. If your recurring Subscription price changes, we will provide you with at least fourteen (14) days' advance notice via your registered email. If you do not agree to the price adjustment, you must pause or cancel your subscription via your account settings or by emailing customerservice@shavedays.com at least one (1) business day before your next scheduled Restock Box shipping date. Failure to cancel before this deadline constitutes acceptance of the new price for subsequent shipments.

 

3.4 Trial Promotions & Membership Mechanics

Your Subscription may begin with a discounted promotional trial period ("Trial"). Your selected credit/debit card or digital payment method ("Payment Method") will be charged the trial rate plus any stated fees.

CRITICAL RENEWAL NOTICE: Upon conclusion of the stated Trial period, your membership will automatically convert into a full, paid rolling Subscription. Shavedays will automatically charge your Payment Method for the product subscription price of full-size replacement blade shipments ("Restock Boxes") at the price and frequency (e.g., every 1, 2, or 3 months) selected during your initial registration, unless you cancel your Subscription prior to the expiration of the Trial period in accordance with Section 4.3.

You will not receive a separate reminder email notifying you that your Trial is ending; it is your responsibility to manage your trial timeline via your portal.

 

3.5 Processing Orders

If an issue occurs with your billing method or delivery address, we will contact you via email. It is your responsibility to maintain accurate contact information. If billing failures cannot be resolved within five (5) business days, Shavedays reserves the right to suspend or cancel future scheduled deliveries until details are updated.

 

3.6 Logistics Carrier Allocation & Delivery Fees

• A. Logistics Carrier Allocation: Shavedays utilizes multiple logistics channels depending on the contents of your order. You acknowledge and agree that standard standalone recurring subscription products ("Restock Boxes") are fulfilled solely via Hong Kong Post standard delivery services and include free shipping. Any orders containing standalone one-off ("On-Demand") purchases, or "Mixed Carts" containing both a subscription and a one-off product, will be upgraded and dispatched via SF Express and are subject to a non-refundable flat shipping fee of HK$20.

• B. Delivery Timelines & Tracking Limitations: All stated warehouse processing and transit times are good-faith estimates only and do not constitute guaranteed delivery deadlines. Standalone subscription orders dispatched via Hong Kong Post do not feature localized, step-by-step real-time digital tracking. Shavedays is not liable for territory-wide courier delays resulting from statutory public holidays, peak seasonal demand, or localized disruptions due to extreme weather anomalies (including, but not limited to, the hoisting of Typhoon Signal No. 8 or above, or the issuance of a Black Rainstorm Warning).

• C. Accuracy of Shipping Credentials: You retain sole legal responsibility for providing complete, and accurate delivery addresses and a valid Hong Kong mobile phone number at checkout. If a delivery fails or is flagged as "Return-to-Sender" due to incorrect credentials, an uncollected parcel at an SF Locker after the carrier's standard storage window (typically 24–48 hours), or refused entry by premises, Shavedays reserves the right to charge a non-negotiable HK$20 administration fee to your authorized payment method to cover secondary dispatch overheads.

 

3.7 Absolute Finality of Sales (Exchange-Only & Hygiene Clause)

In strict accordance with the Hong Kong Sale of Goods Ordinance (Cap. 26) and territory retail hygiene standards, all shaving, grooming, and hardware consumables are classified as personal hygiene products. By completing a purchase, you agree to the following strict rules regarding returns:

• A. No Returns or Refunds: All sales are final. Shavedays does not accept product returns or issue financial refunds to your payment method once an order has been successfully billed and dispatched.

• B. One-Time Exchange-Only Exception: We offer exclusively a 1-to-1 product exchange for an alternative item if the original product is completely unopened, unused, unhandled, and remains pristine within its original, factory heat-sealed or security-bonded packaging. This exchange request must be sent to customerservice@shavedays.com within seven (7) calendar days of delivery. Broken security seals, opened plastic wraps, or tampered cardboard enclosures instantly void any exchange eligibility for safety and sanitary reasons.

• C. Faulty Items: In accordance with the Supply of Goods (Implied Terms) Ordinance, product replacements are available for items arriving damaged or missing. These must be reported with photographic proof to customerservice@shavedays.com within 48 hours of delivery. Replacements will not be granted for items that have been damaged due to customer misuse, lack of reasonable care, or accidental damage.

4. SUBSCRIPTION BILLING, RENEWAL, AND CANCELLATION POLICY

 

4.1 Automated Billing Authorization

By enrolling in a Shavedays Subscription, you expressly authorize Shavedays (or our third-party payment processors) to charge your designated Payment Method on a recurring basis at the start of each billing cycle corresponding to your selected shipment frequency. The amount billed will reflect the items in your upcoming Restock Box plus applicable fees, subject to any adjustments you make to your order before the lockout period.

4.2 The "Lockout Period" & Modifying Orders

You can fully customize your delivery intervals, add extra grooming products, or skip a scheduled shipment directly through your online portal.

Modification Deadline: Any changes to your upcoming shipment, including skipping, updating shipping addresses, changing blade types, or switching payment methods, must be saved in your account dashboard at least one (1) business day before your scheduled shipment date (the "Lockout Date").

Changes made after this deadline will not apply to the immediate shipment but will take effect for the following cycle.

 

4.3 How to Cancel Your Subscription

You have the right to cancel your Shavedays blade subscription at any time without any termination fees or penalties.

Methods of Cancellation: You can cancel instantly by logging into your account dashboard and clicking "Cancel Subscription" within your settings panel, or by sending an explicit cancellation request via email to customerservice@shavedays.com.

Timing Requirement: To prevent being billed for your next scheduled Restock Box, your cancellation must be processed via the portal or received by our team at least one (1) business day prior to your upcoming shipment date.

If you cancel your subscription after the Lockout Date, the imminent shipment will be processed, billed, and delivered, and your cancellation will take effect immediately thereafter, preventing any subsequent cycles.

 

5. LIABILITY OF SHAVEDAYS AND ITS LICENSORS AND PARTNERS

5.1 Service "As Is"

To the fullest extent permitted by the laws of Hong Kong, you assume all risks associated with using the Shavedays Services, including the Contents. The Contents and the Shavedays Services are provided on an “as is” and “as available” basis without warranties of any kind, either express or implied.

Shavedays disclaims all implied warranties to the maximum extent permitted by law, including but not limited to implied warranties of merchantability, satisfactory quality, or fitness for a particular purpose. Shavedays does not warrant that the Shavedays Services will be uninterrupted, error-free, that defects will be corrected, or that the servers making them available are free of viruses or other harmful components.

5.2 Exclusion and Limitation of Liability

Nothing in these Terms shall exclude or limit Shavedays’ liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under Hong Kong law (including the Control of Exemption Clauses Ordinance, Cap. 71).

Subject to the above, Shavedays shall not be liable to you, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, arising under or in connection with these Terms for:

• Any loss of data, damage to property, or IT infrastructure expenses;

• Any loss of anticipated profits, revenue, business opportunities, or economic loss;

• Any indirect, special, or consequential loss or damage whatsoever.

 

6. CONTACT WITH THIRD PARTIES AND THIRD-PARTY WEBSITES

The Shavedays Services may include hyperlinks to external websites and webpages ("Third-Party Pages"), as well as applications, promotional campaigns, or content owned by third parties ("Third-Party Applications").

Shavedays does not investigate, monitor, or review these Third-Party Pages or Third-Party Applications for accuracy, completeness, or appropriateness. The presence of these links does not imply our endorsement or approval of them. If you decide to leave the Shavedays Services to access third-party sites, you do so entirely at your own risk, and your interactions are strictly between you and that third party.

7. INDEMNITY

You agree to defend, indemnify, and hold harmless Shavedays, its affiliates, licensors, suppliers, and independent contractors, from and against any and all claims, actions, demands, liabilities, damages, and settlements—including reasonable legal and accounting fees—arising out of or alleged to arise out of your unauthorized use of the Shavedays Services, violation of these Terms, or your violation of any laws or third-party rights.

8. CHANGES TO OR INTERRUPTION OF SHAVEDAYS SERVICES

Shavedays reserves the right, at any time, to temporarily or permanently modify, discontinue, or suspend the operation of the Shavedays Services (or any part thereof) or any Contents, without prior notice. You agree that Shavedays shall not be liable to you or to any third party for any such modification, suspension, or discontinuance.

9. GENERAL & SEVERABILITY

Geographic Restrictions: Shavedays makes no representation that the Contents are appropriate or available for use outside of Hong Kong. If you choose to access the Services from outside Hong Kong, you assume full responsibility for complying with your local laws.

Severability: If any provision of these Terms is found to be invalid, void, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect, completely unaffected by such invalidity.

No Waiver: A failure or delay by Shavedays to enforce any provision of these Terms shall not constitute a waiver of our right to enforce that provision, or any other provision, in the future.

Survival: Provisions that by their nature should survive termination of these Terms shall remain in full force, including Section 2.1 (Use Restrictions), Section 2.3 (Submission of Ideas), Section 5 (Liability), Section 7 (Indemnity), and Section 11 (Dispute Resolution).

 

10. NOTICE AND TAKE DOWN PROCEDURES FOR COPYRIGHT INFRINGEMENT

If you believe that any material or Submission accessible on the Shavedays Services infringes your intellectual property rights, you may submit a notification of claimed infringement to us at customerservice@shavedays.com with the subject line "Shavedays Takedown Request". Your notice must include:

• A clear description of the copyrighted work or material you believe has been infringed;

• The exact URL or location of the allegedly infringing material on our platform;

• Your full name, physical address, telephone number, and email address;

• A statement by you made under penalty of perjury that you are the rightful copyright owner or authorized to act on their behalf, and that you have a good faith belief that the disputed use is unauthorized.

Shavedays maintains a policy to terminate or suspend access for users who are found to be repeat infringers of intellectual property rights.

11. DISPUTE RESOLUTION & MANDATORY SMALL CLAIMS FORUM

11.1 Informal Resolution

Most customer concerns can be resolved quickly and smoothly by contacting our support team at customerservice@shavedays.com. In the event of a dispute, controversy, or claim arising out of or relating to these Terms—including the purchase of any Product or Subscription—by agreeing to these terms, both parties automatically agree to first attempt to resolve the matter through good-faith informal negotiations for a period of at least thirty (30) days from the date a written dispute notice is received by the other party.

11.2 Agreement to Exclusive Forum: Small Claims Tribunal

If the dispute cannot be resolved informally within thirty (30) days, you and Shavedays expressly agree that the dispute must be submitted exclusively to the Small Claims Tribunal of Hong Kong, provided that the claim falls within the jurisdictional scope of the Tribunal.

11.3 Waiver of Higher Court Actions, Damages Limit, and Legal Fees

By purchasing our Products or enrolling in a Subscription, you explicitly waive your right to initiate or maintain a lawsuit against Shavedays in the District Court, the High Court, or any other judicial body outside of the Small Claims Tribunal.

Regardless of the forum or the outcome of the dispute, each party shall bear its own costs, legal fees, and administrative expenses. Shavedays will not cover, reimburse, or be held liable for your lawyer fees, filing fees, or any other litigation-related expenses.

If, for any reason, a court of competent jurisdiction rules that this higher court waiver is unenforceable and allows a claim to proceed outside the Small Claims Tribunal, you and Shavedays contractually agree that:

• The maximum financial remedy or damages you may receive shall be strictly capped at the prevailing maximum monetary jurisdiction of the Hong Kong Small Claims Tribunal (currently HK$75,000).

• You completely waive any right to claim or recover legal costs, attorney fees, or disbursements from Shavedays associated with such litigation.

12. COMPLETE AGREEMENT

Except as expressly provided in a specific legal notice, waiver, or commercial trial terms published directly by Shavedays on our platform, these Terms constitute the entire agreement between you and Shavedays with respect to the access and use of the Shavedays Services and Contents.
